Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience technical issues that affect availability.

AI Limitations

Our AI coaching is designed to assist and enhance human communication, not replace human judgment. The suggestions provided are recommendations only and should be adapted to your specific context.

Account Creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

Subscription Plans

NexPhrase offers various subscription plans with different features and usage limits. You may upgrade, downgrade, or cancel your subscription at any time through your account settings.

Free Plan

New users can use our free plan forever with limited features. Upgrade to a paid plan anytime for additional features and usage.

Billing

Subscriptions are billed monthly or annually in advance. All payments are processed securely through Stripe. Prices are subject to change with 30 days notice.

Cancellation

Subscriptions are non-refundable. You may cancel your subscription at any time to prevent future renewals, but no refunds will be issued for the current billing period.

You are responsible for all content you create or transmit through the Service. We reserve the right to remove content that violates these Terms or is otherwise objectionable.

Account Termination

NexPhrase Property

The Service, including all content, features, and functionality, is owned by NexPhrase and protected by international copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you create using the Service. By using NexPhrase, you grant us a limited license to process your content solely to provide the Service to you.

AI-Generated Content

Suggestions and coaching provided by our AI are generated dynamically for your use. You may use these suggestions in your communications, but you cannot resell or redistribute them as a standalone product.

Feedback

Any feedback, suggestions, or ideas you provide about the Service become the property of NexPhrase and may be used to improve the Service without compensation to you.

Accuracy Disclaimer

While we strive for accuracy in our AI suggestions and transcriptions, we do not guarantee 100% accuracy. Real-time processing may result in errors or misinterpretations.

Third-Party Services

We use third-party services for AI processing, payments, and infrastructure. We are not responsible for the policies or practices of these third parties.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXPHRASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL NEXPHRASE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO NEXPHRASE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless NexPhrase, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.

Class Action Waiver

You agree to resolve disputes with NexPhrase on an individual basis only, and waive your right to participate in class actions, class arbitrations, or representative actions.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and NexPhrase regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and NexPhrase's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
